OAKLAND, CA – June 6, 2025 – Solar Mosaic (the “Company” or “Mosaic”), a fintech platform for U.S. residential solar and energy-efficient home improvements, today announced the Company filed voluntary petitions for relief under Chapter 11 of the U.S. Bankruptcy Code (“Chapter 11”) in the United States Bankruptcy Court for the Southern District of Texas (the “Court”). Through the Chapter 11 process, Mosaic intends to complete a restructuring and recapitalization supported by certain of the Company’s existing lenders, including Forbright Bank (“Forbright”) acting as Administrative Agent on behalf of lenders, while simultaneously conducting a comprehensive marketing process of its platform and other assets of the Company.

Prior to filing for Chapter 11, Mosaic took actions to strategically and operationally reorganize the business to meet its current liquidity needs. Macroeconomic challenges facing the entire residential solar industry, including high interest rates and legislation that threatens to eliminate tax credits for residential solar, have impacted the flow of capital. Mosaic determined a Court-supervised process was the best way to maintain its loan servicing platform, effectuate a full sale and marketing process for its assets, and maximize value for its stakeholders.

This important step was taken after careful consideration and in consultation with the Company’s Board of Directors and advisors. The Company expects to execute the restructuring and recapitalization through a Chapter 11 plan of reorganization sponsored by Forbright and potentially consummate one or more asset sale transactions pursuant to Section 363 of the U.S. Bankruptcy Code.

Throughout the Court-supervised process, Mosaic expects to remain fully operational without disruption, and the Company remains committed to working with its network of installers, investors and capital markets partners, and customers. Mosaic plans to maintain its loan servicing operation, ensuring customers can continue to pay their loans as planned and collections are remitted to loan owners. As an existing loan servicing customer of Mosaic, Forbright intends to use its significant financial strength to support Mosaic’s servicing operations for all loan owners.

“Today’s announcement marks a significant step for Mosaic to address our financial position amid the macroeconomic challenges facing the residential solar industry as well as the recent legislation passed by the House that rolls back residential solar tax credits,” said Patrick Moore, Mosaic Chief Executive Officer. “Throughout this process, we remain focused on maintaining stability for our customers, business partners, and employees.”

Mosaic will receive $45 million in debtor-in-possession financing from its existing lenders, including $15 million in new money financing which, following court approval, is expected to fund the company’s ongoing operations and administrative expenses during the Chapter 11 cases. Mosaic has filed a number of customary motions with the Court to ensure that its operations continue as usual during the Court process. This includes motions requesting Court authority to pay employee wages and benefits, compensate certain vendors and suppliers on a go-forward basis, and facilitate the completion of partially finished installation projects.

While cancellations can’t be avoided altogether, there are a few solutions that can keep them to a minimum. Let’s dig in.

Top reasons for cancellations

One reason homeowners cancel mid-project is buyer’s remorse. There are factors, like the ones listed below, that can heighten negative feelings for homeowners, and lead to a higher probability of cancelling their project.

Challenge one: Not understanding the project specifics. If the project seems too complex or isn’t explained in depth, homeowners can feel uncertain as their project progresses.

Challenge two: Unforeseen project needs. If the scope of work needed is more than originally thought, such as MPUs (main panel upgrades) or extensive roof work, homeowners can get cold feet or worry about the cost of their investment.

Challenge three: Permitting delays. Permits can take up to months, and homeowners can become impatient or discouraged during the wait. The same goes for scheduling hang-ups or supply issues.

Challenge four: High-pressure sales situations. With too much push, homeowners can feel unprepared but pressured to sign a deal. Project information can get lost in the shuffle and can lead to more problems down the road.

A few solutions…

Solution one: Simplified explanations. Preventing unnecessary cancellations starts at the very beginning of a sale. Question: "Thanks for taking time out of your busy schedule to talk to us about MosaicScore! Firstly, can you tell us more about your role and responsibilities at Mosaic — and what made you want to work here?"

Steve: "Thanks for taking the time to speak with me. In my role as Chief Credit Officer, I manage the credit quality of the loans originated through the Mosaic platform. I also manage our talented Data Analytics team which helps our internal customers answer important business questions with data. I joined Mosaic to support the transition to clean energy that residential solar helps to drive. Only 7% of homes in the US have rooftop solar, so we have a big opportunity for growth."

Question: Can you give us a brief description of what MosaicScore is and how Mosaic’s technology teams have worked on a new and improved version of the feature?

Steve: "The MosaicScore is a custom-built proprietary risk model used in the underwriting decision, or the decision to approve or decline during prequalification. Most people are familiar with the FICO score which is a generic risk score widely used by lenders. Experienced lenders will typically build a custom risk model based on their own customer data to complement their use of generic risk models. A custom model is more finely-tuned to a specific lender's applicants and can provide incremental predictive power over a generic model built on the general population and particularly exciting within residential solar lending. In other terms, MosaicScore helps us look beyond credit scores to approve homeowners.
This latest version of the MosaicScore has been completely redeveloped using more recent data, a broader set of credit attributes and advanced machine learning techniques that bring all this information into a predictive score for each applicant."

Question: How does machine learning help analyze the data we have? Is our machine learning the same as AI?

Steve: "Machine learning is a subset of AI that has been around for decades and includes techniques for using computers to analyze data to identify relationships that can be used to predict outcomes. MosaicScore was developed with a form of supervised machine learning used to build an optimal set of decision trees using dozens of credit attributes and recently updated with new data that weren't available in the prior model. The broader category of AI also includes unsupervised machine learning techniques used in LLMs which focus on discovering patterns and structures within unlabeled data. MosaicScore uses supervised machine learning to identify and optimize the use of credit attributes into a model, so professionals and homeowners can benefit from real-time decisions."

Question: Can you explain the customer credit attributes and how they help more homeowners get financing?

Steve: "A credit attribute is a piece of information about your credit history. This could include how long you have used different types of credit, how much credit you have been given, and how well you have managed it, or how often and recently you have applied for new credit. In general, the longer you have responsibly used different types of credit, the greater your chances of being approved for financing."

Question: How does MosaicScore benefit clean energy professionals, especially sales representatives?

Steve: "The MosaicScore is an innovative, refined tool specifically developed for residential solar; compared to generic qualification criteria used by other solar lenders which can exclude too many good consumers. Texas is proving to be one of the nation’s success stories for solar and battery development. It’s estimated that Texas has installed nearly 80% more of combined solar, wind and battery capacity than the next largest state. And while California still led in total installed capacity, 10 gigawatts, Texas wasn’t far behind with an addition of 8.9 GW of solar in 2024. Texas is also the fastest-growing market for grid storage, adding nearly 9,700 megawatts to the grid in 2024.

Solar electricity generation and utility-scale batteries within the Electric Reliability Council of Texas (ERCOT) power grid set records this summer. The use of solar and batteries are helping to stabilize the power grid, and on some days, solar nearly met 50 percent of the state’s peak power demand. For a state with a history of a strained grid, clean energy can help offset the burden and lead to less power disruptions. Texas is the only state with its own grid, meaning it can set its own rules and regulations, which can be a plus for the solar industry and homeowners looking to benefit from solar systems.

The clean energy projects are also providing a massive boost to the Texas economy, an expected $20 billion in total tax revenue — and Texas boasts the most clean energy jobs in the United States with 261,934 clean energy jobs recorded in 2023.

What lies ahead for the Texas market?

The independent grid system of Texas, flat geography and abundance of sunny days, primes Texas for a thriving solar market. From there, SolarAPP+ has follow-up stats and resources on their website including scheduled live demonstrations, and for super busy schedules, pre-recorded demos. 2. Reach out to your local jurisdictions

Solar business owners and installers are closest to the issues of permitting and are the best voice to advocate for automated technology. By reaching out to your local representatives, you can put SolarAPP+ on their radar and discuss the benefits it can provide businesses and your community.

SolarAPP+ has a jurisdiction resource page that you can share with your representatives for more information. You can email your local representative. Your email doesn’t have to be lengthy or complicated. Here’s a few ideas of what to include to get your message started.
